Terms of Service for Daryn Lab Inc.

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Customer"), and DARYN LAB INC. ("DARYN LAB AI," "we," "us," or "our"), concerning your access to and use of the https://darynlab.ai/ website as well as our AI-powered sales training platform and any other related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Daryn LAB AI provides a business-to-business (B2B) Software-as-a-Service (SaaS) platform that uses artificial intelligence to simulate sales conversations. The Service is designed for training, assessing, and analyzing the communication skills of sales professionals and job candidates.

• Registration: To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree to notify us immediately of any unauthorized use of your account.
• Authorized Users: You may authorize your employees or independent contractors ("Authorized Users") to use the Service under your account. You are responsible for the compliance of your Authorized Users with these Terms.

• Fees: You agree to pay all fees applicable to your chosen subscription plan as described on our pricing page or in a separate order form. All fees are quoted in U.S. Dollars unless otherwise specified.
• Payment: All payments are processed through our third-party payment processor, Stripe. By providing a payment method, you expressly authorize us or our payment processor to charge the applicable fees on a recurring basis according to your subscription term. You are responsible for providing complete and accurate billing and contact information.
• Subscription Term and Renewal: Your subscription will automatically renew for successive periods equal in length to the initial term unless you cancel your subscription prior to the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current paid term, and you will retain access to the Service until that date.
• Refund Policy: All fees are non-refundable. We do not provide refunds or credits for any partial subscription periods, unused services, or downgrades.
• Taxes: All fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, which you are responsible for paying.

• Our Intellectual Property: We own the Service. The Service and its original content (excluding Customer Content), features, functionality, and the underlying software, algorithms, and AI models are and will remain the exclusive property of Daryn Lab Inc. and its licensors. These Terms do not grant you any right, title, or interest in the Service or any of our branding or logos.
• Customer Content: You (or your company) retain all ownership rights to the content, data, and information you or your Authorized Users upload or submit to the Service, including audio recordings and other data ("Customer Content").
• License to Us: You grant Daryn Lab Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and process Customer Content solely for the purpose of providing, maintaining, and improving the Service for you.
• Generated Reports: You own the reports, analytics, and other output generated by the Service based on your Customer Content ("Reports") for your internal business purposes.

You and your Authorized Users agree not to use the Service for any unlawful purpose or to:

• Attempt to reverse engineer, decompile, disassemble, or otherwise discover the source code of the Service.
• Resell, rent, lease, or sublicense access to the Service to any third party.
• Upload any content that is illegal, defamatory, harmful, infringes on the intellectual property rights or privacy rights of others, or contains viruses or malicious code.
• Interfere with or disrupt the integrity, performance, or security of the Service or the data contained therein.

• Termination by You: You may terminate these Terms at any time by canceling your subscription and ceasing to use the Service.
• Termination by Us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you are in material breach of these Terms, including for non-payment of fees.
• Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will have no obligation to maintain or provide any of your Customer Content and may thereafter delete all Customer Content in our systems.

• Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DARYN LAB INC. MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DARYN LAB INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.
• Maximum Liability: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE TOTAL AMOUNT OF FEES YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in New York, New York.

• Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect.
• Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and Daryn Lab Inc. concerning the Service.
